Version 29 October 2026. These Terms apply when you accept them. DREAM TUESDAY LLC, a Washington State limited liability company, provides Avori. “Avori,” “we” and “us” mean DREAM TUESDAY LLC; “you” means the person accepting and, if authorized, the organization that person represents. Legal notices: hello@getavori.com. These Terms cover our websites, hosted AI workspace and available Avori applications, extensions, agents, templates and related services, collectively the “Service.”

1 Agreement and order of precedence

By selecting an acceptance control or entering a signed order referencing these Terms, you agree to them. If you act for an organization, you represent that you have authority to bind it. A person without that authority must not accept for the organization. The Privacy Notice explains processing of personal information; it is not permission for uses outside its stated scope. The AI and Acceptable Use Policy forms part of these Terms. The Business Data Processing Addendum applies to organizational personal-data processing within its scope.

A signed agreement controls over these Terms for its expressly addressed subject. Applicable data-transfer clauses control over the Data Processing Addendum, which controls over these Terms for personal-data processing. A specific paid offer controls price, period and included resources. No document reduces mandatory legal rights. New functionality is available only when enabled for your account; an illustration or roadmap does not promise delivery. An invitation does not by itself purchase a plan or give access to another person’s private information.

2 Eligibility accounts and organizations

You must be at least 18 and legally able to contract, provide accurate registration information and use the Service only where law and applicable provider terms permit. Admission may require approval or invitation. Each person must use their own authorized account and protect sign-in methods, recovery codes, devices and connected-account access. Tell us promptly about suspected compromise at hello@getavori.com. You are responsible for activity you authorize and for reasonable account-security measures; you are not deemed to authorize an action merely because a third party obtained unauthorized access.

Organizations control their membership, available roles and organization resources through supported controls. Their policies may govern work supplied on their behalf. Administrators can manage resources to the extent the product grants that role; membership alone does not give them every personal connection, private conversation or credential. Before adding company or third-party data, make sure you have permission. Keep business continuity and offboarding arrangements for important organization work. We may verify authority where ownership, conflicting instructions or account recovery is disputed.

3 Service license and responsibilities

During your permitted use we grant a limited, nonexclusive, nontransferable right to access the Service for lawful work, subject to these Terms and your plan. You may install authorized clients on devices you control. App-store and third-party open-source licenses also apply to their components. You may not resell access, transfer accounts, bypass limits or security, or use the Service to build or operate an unlawful service. Lawful interoperability and other nonwaivable statutory rights remain unaffected.

You are responsible for the legality of your instructions, supplied materials, connected accounts and the use you make of results. Maintain independent copies of material that is critical to your operations. Review permissions and public-sharing choices. We remain responsible for our own obligations, including operating the Service with the care and security required by law and applicable agreements.

4 AI results and external actions

AI can produce inaccurate, incomplete, outdated, biased or infringing material and can misunderstand an instruction. Results are not guaranteed to be unique, copyrightable, secure or fit for a regulated decision. Verify facts, calculations, source rights and executable code before relying on or publishing them. Avori is not a substitute for a licensed professional. Do not use it as the sole basis for decisions materially affecting a person’s legal rights, health, employment, housing, credit, insurance or similar interests.

The Service can read authorized context, generate content, run code, and perform actions in connected services or browser sessions. A suggestion is different from an executed action. You authorize execution only within the request, role, connection scope and approval settings you actually grant. A recurring instruction or approved automation can authorize later actions without a new prompt every time. You can stop or change future authorization through the available controls. Stopping cannot reverse an already completed external action, recover a sent message or recall a third party’s copy. We do not obtain unlimited authority over your accounts through these Terms.

Before enabling automation, define its scope and review any spending, publication, communication or deletion authority. External systems can fail or report an uncertain outcome. Check the actual state before repeating a consequential action. We may pause a task for ambiguity, safety, account limits, unavailable authorization or suspected abuse. A task status is not a warranty of a third party’s performance or of a business outcome.

5 Third party accounts providers and funding

Connections are optional and governed by the account owner’s authority, granted scopes and the third party’s terms. A personal AI subscription, company API key and Avori-funded credit route have different limits, charges and processing terms. Connecting a subscription does not create unlimited usage or make processing local. Do not share credentials, evade account restrictions or use a connection whose provider forbids the proposed integration. Your authorization does not override a provider’s rules.

We disclose available funding choices in the product. You must approve any optional purchase or chargeable funding change; exhausted or unavailable subscription access is not permission to substitute a paid route. Separately configured feature processing, such as dictation or live voice, can use its disclosed provider. Review those notices before use. You remain responsible for third-party subscription and API charges you independently authorize. We do not control third-party outages, account suspensions, model changes or their data policies. We can change or remove an unavailable integration, with reasonable notice where practicable and legally required remedies where applicable.

6 Your content confidentiality and intellectual property

“Customer Content” means materials you or authorized users submit, connect or create in your workspace, including prompts, files, messages, private agent instructions and results. As between you and Avori, you retain rights in your inputs. To the extent we acquire transferable rights in AI results generated specifically for you, we assign those rights to you, subject to third-party rights, applicable law and payment obligations. This does not assign our software, service design, preexisting templates or another person’s content. Similar results can be generated for others, and no ownership warranty accompanies AI output.

You grant us a limited right to host, reproduce, process, transmit and display Customer Content as necessary to provide and secure the Service, follow authorized instructions, fulfill support you request and meet legal obligations. This license ends when those purposes end, subject to lawful retention and permitted shared copies. It is not permission to sell private work, advertise with it or train our own general-purpose models on it. Restricted connector and extension data remains subject to the stronger Privacy Notice and provider restrictions.

Each party will protect the other’s nonpublic information with reasonable care and use it only for the relationship’s purposes. We may disclose private content to personnel and service providers who need it and are subject to appropriate confidentiality duties, or when legally required. Where lawful we will notify you of compelled disclosure and limit it to what is required. Confidentiality does not cover information lawfully public, independently developed, already known without restriction or properly obtained elsewhere. This clause does not prevent protected reporting or lawful disclosures.

Avori and its licensors retain the Service, code, interfaces, branding and underlying technology. You may voluntarily provide feedback; we may use it without compensation, but this does not grant rights in identifiable private content included with it. Do not submit another person’s confidential information as unrestricted feedback.

7 Sharing public sites templates and marketplace items

Private work becomes available to others according to your sharing, role and publication choices. Publishing a site, public link, agent or template can permit viewing, copying or indexing by its audience. Revocation cannot recall independent copies or undo completed actions. Do not publish secrets, credentials, private records or content you lack rights to distribute. Public access does not by itself grant workspace membership, editing rights or access to a connected account.

Unless a listing supplies a separate license, an Avori-provided template is licensed to an authorized user to copy, customize, use and publish the resulting work for that user or organization. The user owns its modifications, subject to the template and third-party rights. The template license does not permit selling the unmodified template as a competing template product or removing third-party license notices. A customer copy does not include another customer’s data, account authorization or private configuration. Templates and marketplace agents carry the same AI limitations and review obligations as other Service features.

When you deliberately publish your own marketplace item, you grant Avori the rights needed to list, deliver and operate that item for its intended audience. You retain ownership, must identify third-party license conditions, and must not conceal credential collection or harmful behavior. A paid creator or revenue-sharing program requires its own express agreement; these Terms do not create one. We may restrict or remove unlawful or unsafe items, explain the reason where appropriate and allow a review request at hello@getavori.com.

8 Plans trials payment and credits

Before purchase, the offer must show the charging party, currency, amount or calculation, billing period, included resources, trial end and first charge where relevant, and cancellation terms. Taxes may be added where required and disclosed. The account owner or person shown as purchaser is responsible for the purchase; an invited teammate is not automatically a purchaser. Payment processing is provided through Stripe or a payment channel expressly identified at checkout.

With your express renewal consent, a subscription renews for the disclosed period at the then-applicable price until canceled. A card-first trial may convert to a paid subscription on the disclosed date unless canceled before then. A trial without a payment method does not authorize a charge. Trial eligibility, duration and benefits are those of your offer. We provide required reminders and renewal notices; we do not rely on these Terms as a substitute for them.

AI credits and other metered allowances are rights to use a stated Service resource, not money, a deposit or an investment. Rates and the consumption method are shown in the applicable resource or purchase disclosure. Current ordinary monthly AI balances, including added AI credits, reset at the disclosed period boundary without rollover; added credits have a stated use-by date. Review that date before purchasing. Special billing transitions follow their express adjustment rules. We do not shorten an already purchased use period retroactively. Where law prohibits expiry or requires redemption or refund, that law controls. A late top-up payment that cannot provide usable credits for its disclosed period is refunded or held for refund resolution rather than treated as usable service.

Separate hosting, storage, cloud work or model usage can consume different resources. Do not assume that a provider subscription pays for every Avori feature. We may enforce disclosed limits and reasonable anti-abuse controls. We will not silently create an unlimited overage obligation or enable an optional automatic top-up without its disclosed authorization. Tell us promptly of suspected billing errors; an internal reporting request does not shorten a statutory dispute period.

9 Cancellation refunds and changes to paid plans

For current workspace plans, sign in at app.getavori.com in a web browser, open Plan or Billing, and choose Cancel plan or Cancel trial. Follow the confirmation to its effective date. Reasons are optional. Legacy personal subscriptions use the Billing Portal available from their plan controls. The native iPhone app currently does not perform billing changes; use the web flow. If it is unavailable, email hello@getavori.com from your account email with “Cancel Avori” and the account to cancel. We will honor a clear timely request as of its receipt, subject to reasonable identity verification, and correct a renewal charged solely because our cancellation mechanism failed.

Paid-plan cancellation ordinarily stops renewal at the end of the paid period; access continues to that date. A canceled card-first trial runs to its disclosed end without its conversion charge. A no-card trial can end immediately when canceled. Lower-tier or Free access may retain saved work with reduced features and resources. Cancellation is distinct from permanent deletion and is not a promise of perpetual free storage. Removing an app, leaving a workspace or disconnecting an AI provider is not a cancellation request to Avori or the third party.

Except as required by law or an express offer, paid fees and used resources are nonrefundable, and we do not provide prorated refunds merely because you stop using the Service. This does not limit mandatory consumer remedies, valid billing-error corrections, unusable late-payment refunds or refunds stated here. If we materially breach a paid Service obligation and do not cure within 30 days after sufficiently detailed notice, you may terminate the affected service and receive its unused prepaid fees. If we discontinue an affected paid service without a reasonably equivalent substitute, we refund its unused prepaid portion. Third-party purchases follow the identified seller’s process subject to applicable law; no clause removes rights against the responsible seller.

We give at least 30 days’ notice before an increased recurring price or materially reduced paid entitlement takes effect, and longer or different notice and renewed consent where law requires. Such changes apply prospectively, ordinarily at renewal. You can cancel before they apply. Do not pay an undisclosed new amount on the basis of an old consent. Downgrade, tax and legally required changes are explained when applicable.

10 Suspension termination and data

You can stop using the Service and cancel as above. We may suspend the affected function or account for a material breach, unlawful use, credible security risk, unpaid undisputed fees or loss of required third-party authorization. We will narrow a restriction where practicable and provide notice, reasons and a chance to resolve it unless law, urgent safety, security or investigation requires otherwise. You may request review at hello@getavori.com. We do not claim a right to retain all prepaid fees for our own arbitrary termination.

Before closure, use available export or download controls for work you need. Deletion requires the supported privacy/account process and verification. Personal deletion may remove personal connections and private work while organization-shared material, others’ records and legally required billing or security records remain as described in the Privacy Notice. Cleanup can be a resumable process. We will not promise instant erasure from backups or independent third parties. The Data Processing Addendum controls organizational personal-data return and deletion. Terms that by their nature survive, including payment accrued, intellectual property, confidentiality, data protection, disputes and liability, survive termination for their applicable purpose.

11 Warranties and limits of liability

We will provide the Service with reasonable care and skill and perform express paid commitments. To the fullest extent permitted by law, other than those commitments, the Service, AI results, third-party items and previews are provided as available, without implied warranties of merchantability, fitness for a particular purpose or noninfringement. We do not guarantee uninterrupted operation, a specific result, perfect security or error-free AI. Preview features can change and should not be the sole repository for critical work. Mandatory warranties, digital-service conformity rights and other nonwaivable remedies remain intact.

To the fullest extent permitted by law, neither party is liable under this agreement for lost profits, lost revenue, loss of business opportunity or indirect, consequential, special or punitive damages. For all other claims arising from the agreement, each party’s aggregate liability is limited to the greater of USD 100 or fees paid or payable to Avori for the affected Service in the 12 months preceding the first event giving rise to liability. For Avori’s breach of its express confidentiality or data-security obligations, the aggregate cap instead is the greater of USD 1,000 or twice those 12 months’ fees. Related events form one claim series; caps do not multiply by claimant, legal theory or repeated event.

These exclusions and caps do not limit fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or liability that law does not allow to be limited. They do not limit payment for service properly supplied, either party’s misuse of the other’s intellectual property, or a business customer’s indemnity below. They do not override mandatory data-subject rights, regulator powers or applicable transfer clauses. A contractual cap is not a representation that every jurisdiction will enforce it.

12 Business customer third party claims

If you accept for a business, you will defend Avori against a third-party claim that your supplied content, unlawful instructions or intentional misuse violates that third party’s rights or law, and pay damages and reasonable settlement amounts finally awarded or approved under this clause. This does not cover a claim caused by Avori’s breach, unauthorized modification, willful misconduct or content created independently by Avori. It is not an obligation imposed on a consumer for ordinary permitted use.

We must give prompt notice, reasonable cooperation at your expense and control of the covered defense to you, subject to our right to participate at our own expense. Delay excuses performance only to the extent it materially prejudices the defense. You may not settle by admitting fault for Avori, imposing nonmonetary duties on it or failing to release it without its reasonable consent. Avori may take necessary protective steps if a covered defense is not provided, with reasonable costs recoverable subject to this clause.

13 Mandatory consumer rights

Nothing in these Terms excludes rights that cannot lawfully be excluded. If you are an eligible consumer, local law may require cancellation, refunds, remedies for defective digital services or access to local courts despite other provisions. EEA and UK distance-service consumers generally have a 14-day withdrawal period beginning at contract conclusion, subject to the legally applicable exceptions. Merely logging in or using ongoing SaaS does not automatically waive that right.

To withdraw, send an unambiguous request to hello@getavori.com identifying your account email, service and contract date and stating that you withdraw from the contract. You need not give a reason. Where a prescribed withdrawal form or compliant online withdrawal function is legally required, we will provide it; email does not replace that requirement. If you expressly requested service during the withdrawal period, only a legally permitted proportionate amount may be due. Applicable refunds are made within the required period using the original payment method unless law permits otherwise and you agree. This clause does not extend a mandatory right to an ineligible transaction.

14 Disputes notices and general terms

Send a sufficiently detailed dispute notice to hello@getavori.com so we can try to resolve it. Neither party must delay urgent relief or a filing needed to preserve rights. Washington State law governs without its conflict-of-laws rules, except mandatory protections of an eligible consumer’s home jurisdiction. Subject to those protections, the state or federal courts located in Washington State with jurisdiction hear disputes, and the parties consent to their jurisdiction. There is no mandatory arbitration agreement or contractual class-action waiver in these Terms.

We send account notices to the email or supported notice channel associated with your account. Keep it current. Legal notices to Avori go to hello@getavori.com. An ordinary electronic notice is effective when received; formal service of process follows applicable law. We are located in Washington State, United States. Electronic acceptance and records have the effect permitted by law.

We may update these Terms with prospective notice. For a material adverse change to an existing contract, we provide at least 30 days’ notice and an opportunity to stop using and cancel before it takes effect, or obtain renewed acceptance where required. Urgent legal or security changes may apply sooner only to the extent necessary and legally permitted. Changes do not retroactively expand rights in private content or resolve existing disputes in our favor.

Neither party is liable for delay caused by events beyond reasonable control, subject to reasonable mitigation, payment already accrued and mandatory rights. You may not assign this agreement without our consent, except a business may assign it with its related business reorganization or sale if the successor assumes the obligations and the assignment does not bypass provider restrictions. We may assign with a business transfer subject to these same obligations and data-protection restrictions. Neither party can use assignment to reduce mandatory rights. Invalid provisions are narrowed or severed without defeating the agreement’s lawful purpose. Failure to enforce is not waiver. These documents and applicable orders form the agreement for the Service; no sales statement changes it unless expressly incorporated. No third-party beneficiary is created except where mandatory data-transfer terms provide one.
